Welcome to Arneeon Media (“Company,” “we,” “us,” or “our”). By using our services, including SEO, social media advertising, pay-per-click (PPC) management, and our SaaS-based CRM platform Biz Boom Box (collectively, “Services”), you agree to the following terms and conditions. Please read them carefully.

1. Services Provided

Arneeon Media offers:

  • Digital Marketing Services, including SEO, Pay-Per-Click (PPC) Advertising, Social Media Advertising, Website Design, and Lead Generation.
  • Biz Boom Box SaaS (Software as a Service) solutions, including CRM Systems, Web Chat Widgets, AI Automations, and related marketing tools.

We may update, modify, or discontinue any Service at our sole discretion with or without notice.

2. Client Responsibilities

You agree to:

  • Provide accurate and complete information necessary for service delivery.
  • Cooperate with timelines, approvals, and requests for content, access, or materials.
  • Use our SaaS products and software lawfully, without violating any applicable laws or third-party rights.
  • Maintain confidentiality of any login credentials or access codes provided.

3. Fees and Payment Terms

  • Fees for Services will be outlined in your individual service agreement, proposal, or subscription.
  • Payment for marketing services is typically due monthly in advance, unless otherwise stated.
  • SaaS subscriptions are billed on a recurring basis (monthly or annually), and renew automatically unless canceled.
  • Late payments may incur interest charges at 1.5% per month (18% annually) or the maximum allowed by law.
  • All fees are non-refundable unless otherwise specified in writing.

4. Intellectual Property

  • All materials created by Arneeon Media, including websites, ad creatives, content, and software, remain the intellectual property of Arneeon Media unless otherwise agreed upon.
  • Upon full payment, you may receive a non-exclusive, non-transferable license to use materials for your own business purposes.
  • SaaS software remains proprietary and licensed, not sold.

5. SaaS License and Usage

  • Access to our SaaS products is provided on a subscription basis.
  • You are granted a limited, revocable, non-transferable license to use our software for your internal business use.
  • You may not copy, modify, decompile, or reverse-engineer the software.
  • Unauthorized reselling, sublicensing, or sharing of the platform is prohibited unless explicitly permitted.

6. Data and Privacy

  • We respect your privacy and will handle your data in accordance with our Privacy Policy.
  • You retain ownership of your client data. However, you grant Arneeon Media the right to host, store, and process this data as necessary to provide Services.

7. Confidentiality

Both parties agree to keep confidential any non-public business information, technical information, or client data disclosed during the course of the Services.

8. Disclaimer of Warranties

  • Services are provided “as is” and “as available” without warranty of any kind, express or implied.
  • We do not guarantee specific marketing results, rankings, or leads.
  • SaaS services may experience downtime, errors, or bugs, and while we strive for reliability, we do not guarantee uninterrupted availability.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Arneeon Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
  • Our total liability arising out of or relating to these Terms or Services is limited to the amount you paid us in the three (3) months prior to the event giving rise to the claim.

10. Termination

  • Either party may terminate services with 30 days written notice, unless otherwise specified in the service agreement.
  • We reserve the right to suspend or terminate your access to Services immediately if you breach these Terms or engage in unlawful behavior.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of laws principles.

12. Amendments

We may modify these Terms at any time. Updates will be posted on our website or communicated to you directly. Continued use of our Services after such changes constitutes acceptance.
